Welcome to market.latenode.com (the "Marketplace"), operated by Latenode ("Company," "we," "us," or "our"). This Creator Agreement ("Agreement") outlines the terms and conditions for creators ("Creators" or "you") who submit workflow templates ("Templates") to our Marketplace. By submitting Templates, you agree to comply with this Agreement and our Terms of Service.
1.1 Purpose: The Marketplace enables Creators to submit and sell workflow Templates to users. Inclusion of Templates in the Marketplace is at our sole discretion and subject to compliance with our guidelines and policies.
1.2 Eligibility: Creators must be at least 18 years old and have the legal capacity to enter into this Agreement.
2.1 Submission Guidelines: Templates must adhere to our Submission Guidelines, which include requirements for quality, originality, and compliance with applicable laws.
2.2 Approval Process: Submitted Templates will undergo a review process. We reserve the right to accept or reject any Template at our discretion.
2.3 Updates and Maintenance: Creators are responsible for maintaining and updating their Templates to ensure compatibility with our platform and to address any issues or bugs.
3.1 Ownership: Creators retain ownership of their Templates. By submitting a Template, you grant us a non-exclusive, worldwide, royalty-free license to host, display, promote, and distribute the Template through the Marketplace.
3.2 Buyer License: When a Template is sold, the buyer receives a license to use the Template in accordance with our Template License Agreement.
3.3 Intellectual Property Rights: Creators warrant that their Templates do not infringe upon the intellectual property rights of any third party and that they have the necessary rights to grant the licenses described in this Agreement.
4.1 Pricing: Creators set the prices for their Templates, subject to our pricing policies and guidelines.
4.2 Commission: We retain a 30% commission on each sale. The remaining 70% will be paid to the Creator.
4.3 Payment Schedule: Payments to Creators will be made monthly, provided the minimum payout threshold of $50 is met. Payments will be processed via bank transfer or PayPal.
4.4 Taxes: Creators are responsible for any taxes applicable to their earnings. We may deduct or withhold taxes if required by law.
5.1 Compliance: Creators must comply with all applicable laws and our Acceptable Use Policy.
5.2 Support: Creators are expected to provide reasonable support to buyers of their Templates, including addressing any issues or questions related to the Template's functionality.
5.3 Conduct: Creators must conduct themselves professionally and refrain from any activities that could harm the reputation of the Marketplace or its users.
6.1 Termination by Creator: You may terminate this Agreement by removing your Templates from the Marketplace and ceasing all use of our services.
6.2 Termination by Company: We may suspend or terminate your account and remove your Templates if you violate this Agreement, our Terms of Service, or any applicable laws.
6.3 Effect of Termination: Upon termination, any existing licenses granted to buyers will remain in effect. We may retain copies of your Templates for archival or legal purposes.
To the maximum extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from your participation in the Marketplace. Our total liability to you for any claims arising under this Agreement is limited to the total amount paid to you in the six (6) months preceding the claim.
We may update this Agreement from time to time. Significant changes will be communicated via email or through the Marketplace. Your continued participation in the Marketplace constitutes acceptance of the updated Agreement.
This Agreement is governed by the laws of Cyprus. Any disputes arising under this Agreement will be resolved in the courts of Cyprus.
