To ensure clarity and protect the rights of both creators and users on market.latenode.com, we have established the following Template License Agreement ("Agreement"). This Agreement governs the use of workflow templates ("Templates") available on our Marketplace. By purchasing or using a Template, you ("Licensee") agree to comply with the terms outlined herein.
1. License Grant
1.1 Limited License: Upon purchase, the Licensee is granted a non-exclusive, non-transferable, worldwide license to use the Template for personal or commercial projects, subject to the restrictions set forth in this Agreement.
2. Permitted Uses
2.1 Single Project Use: The Licensee may use the Template in a single end product or project.
2.2 Modifications: The Licensee may modify the Template as necessary to fit their project requirements. However, such modifications do not grant the Licensee any ownership rights over the Template.
3. Prohibited Uses
3.1 Resale and Distribution: The Licensee may not resell, redistribute, or share the Template, modified or unmodified, in any form.
3.2 Multiple Projects: The Licensee may not use the Template in more than one project without obtaining an additional license.
3.3 Unlawful Use: The Licensee may not use the Template for any unlawful or defamatory purposes.
4. Intellectual Property Rights
4.1 Ownership: All intellectual property rights in the Template remain with the original creator ("Licensor").
4.2 No Implied Rights: Except for the rights expressly granted under this Agreement, no other rights are granted to the Licensee, whether by implication, estoppel, or otherwise.
5. Termination
5.1 Termination for Breach: This Agreement and the Licensee's rights under it will terminate automatically if the Licensee fails to comply with any of its terms.
5.2 Effect of Termination: Upon termination, the Licensee must cease all use of the Template and destroy all copies in their possession.
6. Limitation of Liability
6.1 No Warranty: The Template is provided "as is" without warranty of any kind, either express or implied.
6.2 Limitation of Liability: In no event shall the Licensor or Marketplace be liable for any damages arising out of the use or inability to use the Template, even if they have been advised of the possibility of such damages.
7. General Provisions
7.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Cyprus.
7.2 Entire Agreement: This Agreement constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior agreements and understandings.
By purchasing or using a Template from market.latenode.com, you acknowledge that you have read, understood, and agree to be bound by this Template License Agreement.
